NOTICE REGARDING DISPUTE RESOLUTION (U.S. USERS ONLY):

THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER (SEE SECTION 16). EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN SECTION 16 BELOW OR WHERE PROHIBITED BY APPLICABLE LAW, YOU AGREE THAT DISPUTES BETWEEN YOU AND GRACEMEET WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

California Residents:
You may cancel your subscription, without penalty or obligation, at any time prior to midnight of the third business day following the date you subscribed. If you subscribed using an Apple ID, refunds are handled by Apple. If you subscribed directly, mail a notice to: Nutty Face s.r.o., Hainemannova 2695/6, Dejvice, 160 00 Prague, Czechia.

1. ACCEPTANCE OF TERMS

This Terms of Use Agreement ("Agreement") constitutes a legally binding agreement made between you ("you") and Nutty Face s.r.o. ("GraceMeet", "we", "us", or "our"), a limited liability company (společnost s ručením omezeným) organized under the laws of the Czech Republic.

By creating an account, downloading the mobile application, or accessing the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement, our Privacy Policy, Cookie Policy, and Community Guidelines, which are incorporated herein by reference. IF YOU DO NOT AGREE TO BE BOUND BY ALL OF THESE TERMS, DO NOT USE THE SERVICE.

2. ELIGIBILITY & REPRESENTATIONS

You are not authorized to create an account or access the Service unless all of the following are true:

Age: You are at least 18 years of age.
Capacity: You can form a binding contract with GraceMeet under the laws of your jurisdiction.
Legal Compliance: You are not a person who is barred from using the Service under the laws of the United States (e.g., OFAC sanctions), the European Union, the United Kingdom, or any other applicable jurisdiction.
Criminal History Representation: You represent and warrant that you are not required to register as a sex offender in any state, federal, or local sex offender registry, and that you have not been convicted of a crime involving sexual violence or sexual exploitation.
Harmful Conduct: We reserve the right to remove your account if we find credible evidence or receive valid reports indicating a violation of these representations or other harmful conduct, even if no conviction exists.

3. ACCOUNT & SECURITY

You are responsible for maintaining the confidentiality of your login credentials. You are solely responsible for all activities that occur under your account. If you believe your account has been compromised, you must contact us immediately at support@gracemeet.com.

We may use automated systems and third-party technologies to detect suspicious activity. We reserve the right to block, suspend, or terminate your account without notice and without refund if we reasonably believe you have violated this Agreement.

4. COMMUNITY RULES & RESTRICTIONS

You agree strictly NOT to:

Use the Service for any purpose that is illegal or prohibited by this Agreement.
Use the Service for any harmful or nefarious purpose, including soliciting money, conducting fraud, or phishing.
Explicit Content: Post any content that depicts pornography, sexual acts, or nudity intended for sexual gratification.
Child Safety: Post any content that depicts, promotes, or alludes to the sexual exploitation of minors. We report all suspected CSAM to the National Center for Missing & Exploited Children (NCMEC) and relevant EU authorities.
Harassment: Stalk, bully, intimidate, assault, harass, mistreat, or defame any person.
Scraping: Use any robot, bot, spider, crawler, scraper, or other automated means to access the Service.

5. RIGHTS YOU GRANT GRACEMEET

a. License to Content: By creating an account, you grant to GraceMeet a worldwide, transferable, sub-licensable, royalty-free, right and license to host, store, use, copy, display, reproduce, adapt, edit, publish, modify, and distribute your Content.

b. AI & Algorithmic Training: You acknowledge and agree that GraceMeet may use your Content to train our algorithms, improve our matching technology, and develop safety features.

c. Automated Decision Making: We may use automated systems, including AI-based classifiers, to detect spam, fraud, unsafe content, or sexually explicit imagery. Automated decisions are reviewed by humans when required by applicable law (including the EU Digital Services Act).

6. PURCHASES, SUBSCRIPTIONS & VIRTUAL ITEMS

a. Auto-Renewal: If you purchase a subscription via an External Service (Apple/Google), it will renew automatically unless canceled at least 24 hours before the end of the current period.

b. Virtual Items: You may purchase a limited, personal, non-transferable, revocable license to use "Virtual Items" (e.g., Coins). VIRTUAL ITEMS ARE NOT REAL CURRENCY, DO NOT EARN INTEREST, AND ARE NOT REFUNDABLE.

c. Refunds: All charges are nonrefundable except where required by applicable law (including applicable EU/EEA withdrawal rights described in Section 14) or by the applicable app store’s policies.

7. PUSH NOTIFICATIONS & LOCATION SERVICES

a. Location: If you authorize the App to access your location, we may collect and process your location data to provide location-based features.

b. Notifications: We may send you push notifications. You can opt-out in device settings.

8. SAFETY DISCLAIMER (CRITICAL)

IMPORTANT SAFETY WARNING:

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER MEMBERS. YOU UNDERSTAND THAT GRACEMEET DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON ITS MEMBERS. GRACEMEET MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF MEMBERS.

GRACEMEET RESERVES THE RIGHT TO CONDUCT SCREENINGS AT ANY TIME USING AVAILABLE PUBLIC RECORDS. YOU AGREE THAT GRACEMEET SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING OUT OF YOUR INTERACTIONS WITH OTHER USERS.

9. BIOMETRIC DATA & SENSITIVE INFORMATION

a. Biometric Consent: If you choose to verify your profile, you expressly consent to the collection, storage, and processing of your face geometry (biometric data) by us and our third-party partners for identity verification.

b. Retention Policy: We retain biometric identifiers only as long as necessary to fulfill the purpose of collection (e.g., verification and fraud prevention) and will delete them when that purpose is satisfied or as required by law.

c. Sensitive Data (US State Laws): Some information processed by GraceMeet may be considered "Sensitive Data" under certain US state laws (including Colorado, Virginia, Connecticut). By using the Service, you explicitly consent to the processing of such data. For specific instructions on exercising your state privacy rights, please refer to our Privacy Policy.

d. Age Verification: In compliance with laws in Texas, Louisiana, Utah, Arkansas, and Florida, we may require government ID verification to access the Service.

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. GRACEMEET EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, GRACEMEET’S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID, IF ANY, BY YOU TO GRACEMEET DURING THE TWENTY-FOUR (24) MONTH PERIOD IMMEDIATELY PRECEDING THE CLAIM.

Consumer Protection Exception: Nothing in these Terms limits liability where such limitation is prohibited by applicable law, including mandatory consumer protection laws in the EU, UK, or other jurisdictions.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless GraceMeet from any claims, losses, or costs arising out of your use of the Service, your Content, or your violation of this Agreement.

13. APP STORE TERMS

This Agreement is between you and GraceMeet, not Apple or Google. They are third-party beneficiaries of this Agreement.

14. EU & DIGITAL SERVICES ACT (DSA) PROVISIONS

EU Users Only:
Right of Withdrawal: EU/EEA consumers may have a 14-day withdrawal right unless (i) digital content or services begin with your prior express consent and acknowledgment of loss of the right, or (ii) applicable law provides otherwise.

Reporting Illegal Content (Notice and Action): If you encounter illegal content, please report it via the in-app reporting tool or by emailing legal@gracemeet.com.

Internal Complaint-Handling System: If we restrict or ban your account, you have the right to appeal this decision through our internal complaint handling system for a period of 6 months (or longer where required by applicable law). Contact legal@gracemeet.com.

15. CANADIAN USERS (PIPEDA)

For users in Canada: We comply with PIPEDA. You consent to the transfer of your personal information to the Czech Republic. You may access/correct your data by contacting our Privacy Officer at support@gracemeet.com.

16. DISPUTE RESOLUTION: ARBITRATION & CLASS ACTION WAIVER (U.S.)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

a. Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting legal@gracemeet.com for a period of at least 60 days.

b. Binding Arbitration (US Users): Disputes shall be resolved by binding arbitration administered by the AAA. The arbitration may be conducted in the county where you reside (or remotely, if agreed). We will pay or reimburse filing and arbitration fees for non-frivolous claims up to the amount permitted by AAA rules.

c. Exceptions: Either party may bring an individual action in small claims court. Either party may seek injunctive relief for intellectual property misuse or unlawful access to the Service.

d. Class Action Waiver: YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

e. Opt-Out: You may opt out of this arbitration agreement by emailing legal@gracemeet.com within 30 days of first accepting these Terms, with your name, account email/phone, and a clear statement that you wish to opt out.

17. GOVERNING LAW & VENUE

a. US Users: Federal Arbitration Act and laws of Delaware.

b. Non-US Users: Laws of the Czech Republic. Exclusive jurisdiction: Prague, Czech Republic.

18. DMCA COPYRIGHT POLICY

19. MISCELLANEOUS

a. Entire Agreement: This Agreement constitutes the entire agreement between you and GraceMeet.

b. Changes to Agreement: We may update these Terms from time to time. The "Last Revised" date indicates when changes were made. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.

c. Severability: If any provision is invalid, the remainder continues in full force.

d. No Waiver: The failure of GraceMeet to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision.

e. Survival: Key legal sections survive termination of your account.
